      Anyone have any experience in forming an Limited Liability Company? I want to open up my own garage gym and I'm a little confused on the whole process of forming an LLC. I've looked into LegalZoom and MyCorporation and they charge approximately $500-750ish; or I can just apply via the state and the filing fee is only $160. What am I really paying for with these internet companies - do I need it? Any help is greatly appreciated.

      i went through my attny...he charged me $500. it was done right and i had no prob's. the thing i had was attny's and accnt's waqnt it dont 2 different ways, lol...account's want wants you to be a "s" corp and the attny wanted me to be a llc...i went with the attny (llc) becouse that was in the best intrest to me when it came to liability.

      I've decided on LLC as well. Kansas requires a filing fee of $160 - you fill out a form and you're done. However, these other companies (LegalZoom, MyCorporation, etc...) cost significantly more and their questionnaire seems more thorough compared to the minimum requirements listed on the state form.

      well, for me, i liked the attrny taking the responcibility of setting it up correctly. he also regestered thje name, set me up with the feds as an employer and all the other shyt that needed to be done (got me my tax I.D. nuber, state #...all that shyt)

      I paid around $175 online to LLC. Remembering the website would be helpful. LLC is better for a 1 man opperation. At least I think it's easier to maintain, e.g. taxes, payroll, etc... it's not as complex.
      I filed for my fictitious name through the state online. That's $50 in FL.
      I also had to take care of the occupational license myself. A service occupational license is a one time fee, and less expensive than a retail license in the long run. That's helpful for if the clerk for the license leaves that decision up to you. You are offering a service.
      All totalled up, I guess I spent around $300-400 to LLC.

      Good luck with everything.

      Thanks... I'll have to look into the service license. I've done a considerable amount of research but haven't run across a service license unless you're a professional (i.e. physical therapist, chiropractor, etc...).

      A retail license might be better for you. If you're planning on retailing supplements, bars, protein, etc...
      You'll probably be helping folks reach their goals via your services, though, correct?
      You know which would be best for your business. People that deliver tangeable final product, such as contruction are even offering a service.
      I don't know about a gym though. Consider taxes on a retail license as opposed to a service license.

      I opened an S-corp instead of an LLC for tax pourposes so you may want to check with your accountant for tax liabilities.
      I did mine online at https://www.blumberg.com/, it was pretty cheap and came with a binder with your corporate seal, stock certificates and such.

      yea, my other biz was "S" corp....thats why i got with my account. and attny...firgure out what will cost me less in taxes, but cover me for liability more!!! thats why they went to school. thats why they get named in any class action suits, lol

      The main thing is to incorporate so no one can touch your personal assets. The "S" corp and "C" corp is dependent on how you want to pay taxes and take your profits. But realistically, you don't need an attorney. If you have comm on sense, can use google and read pretty good, you can do it all yourself. You can go to your Department of State site and get a tax id number right there.
